[New SEC Crypto Asset Regulations Published in Federal Register, 60-Day Comment Period Begins]
Foresight News reports that the U.S. Securities and Exchange Commission (SEC) has officially published its proposed new cryptocurrency issuance rules, titled 'Regulation Crypto Assets,' in the Federal Register on August 21, initiating a 60-day public comment period that will end on October 20.
The proposal aims to establish a dedicated issuance framework for investment contracts involving crypto assets and introduces two registration exemptions: the first allows cumulative fundraising of up to $5 million over four years; the second, modeled after the existing Regulation A framework, permits fundraising of up to $75 million every 12 months, implemented in two tiers. Under both exemptions, issuers are required to provide principles-based narrative disclosures, while issuers under the second exemption must also provide financial statements and comply with ongoing reporting obligations. The proposal also includes a conditional safe harbor provision, under which crypto assets meeting certain conditions would not be considered 'investment contracts' and thus would fall outside the definition of 'securities' under securities laws.
