Wu Blockchain has learned that the U.S. SEC has proposed introducing 'Regulation Crypto Assets,' establishing a specialized securities issuance framework for certain investment contracts involving crypto assets. The proposal includes two registration exemptions under the Securities Act: one is a one-time exemption allowing issuers to raise up to $5 million over a four-year period; the other permits issuers to raise up to $75 million every 12 months. Both exemptions require issuers to provide relevant disclosures to investors, with the latter also requiring financial statements and ongoing reporting obligations. The proposal further includes a conditional safe harbor, under which crypto assets may no longer be considered bound by 'investment contract' rules if certain conditions are met. Securities issued under the new exemptions and certain secondary market transactions may also be exempt from state-level securities registration and qualification requirements.
